Allianz Group will merge with Aviva Group in Poland. This means that there will be a merger of, among others, the following companies:
- Aviva TU na Życie S.A. with registered office in Warsaw (the acquiring company) with TU Allianz Życie Polska S.A. with registered office in Warsaw (the acquired company),
- TUiR Allianz Polska S.A. with registered office in Warsaw (the acquiring company) with Aviva TU Ogólnych S.A. with registered office in Warsaw (the acquired company),
- TFI Allianz Polska S.A. with registered office in Warsaw (the acquiring company) with Aviva Investors Poland TFI S.A. with registered office in Warsaw (the acquired company).
The merger will take place pursuant to Article 492 § 1 point 1 of the Code of Commercial Companies Act of 15 September 2000. Pursuant to Article 4-94 § 1 of the Code of Commercial Companies, the acquiring company acquires all rights and obligations of the acquired company on the merger date (universal succession).
The combined companies will operate under the Allianz brand - the world's most respected insurance brand. As a result, the Aviva brand will cease to be present in Poland.
